TERMS OF SALE

1. These terms of sale (these "Terms of Sale") apply to the purchase and sale of products and services through https://shopsorce.com/(the "Site"). These Terms of Sale, together with our Terms of Service, our Privacy Policy and all other policies and terms that we may post on the site from time to time (collectively, these “Terms”) set forth the legally binding terms and conditions that govern your use of the Site and purchase of our products.

2. The Terms are subject to change by Company without prior written notice at any time, in our sole discretion. Any changes to the Terms of Sale will be in effect as of the "Last Updated Date" referenced on the Site. You should review these Terms of Sale prior to purchasing any product or services that are available through this Site. Your continued use of this Site after the "Last Updated Date" will constitute your acceptance of and agreement to such changes.

3. Order Acceptance and Cancellation. When placing an order on our Site, you are effectively offering to purchase whatever products and services you select. We reserve the right to accept or reject any order in our own discretion. We will only accept or reject an order in its entirety. Should we elect to accept your offer, you will receive a confirming email at the email address that you provide at such time. Notwithstanding, we reserve the right to cancel any order once accepted by us (as evidenced by a confirming email) at any time in our sole discretion. Additionally, you have the option of cancelling your order (in its entirety only) at any time prior to our having sent to you the confirming email referenced herein.

4. Prices and Payment Terms. All applicable prices are set forth alongside the goods and services offered on the Site. They may differ from the prices offered elsewhere (online or offline) by us for the same goods and/or services. Such prices are subject to change at any time by us in our sole discretion. Additionally, to the extent that we offer a promotion in connection with any particular item, the terms of such offer shall be set forth in a separate document that shall govern its applicability (and, in the event of a conflict herewith, be considered the governing document). Posted prices do not include taxes or charges for shipping and handling. You will be responsible for the prices stated at the time of your transaction, as well as any: (i) sales, use, excise, and related taxes; and (ii) shipping and handling charges. All such taxes and charges will be added to your merchandise total and will be itemized in your shopping cart and in your order confirmation email. We strive to display accurate price information, however we may, on occasion, make inadvertent typographical errors, inaccuracies or omissions related to pricing and availability. We reserve the right to correct any errors, inaccuracies, or omissions at any time and to cancel any orders arising from such occurrences.

5. Payment Methods. Payment must be made by a payment method that we accept (“Acceptable Payment Methods”). Our Acceptable Payment Methods include Visa, Mastercard, Discover, American Express, Apple Pay, Diner’s Club, Shop Pay, Google Pay, PayPal, Meta Pay. We may change the list of Acceptable Payment Methods at any time in our sole discretion. By making payment with an Acceptable Payment Method, you represent and warrant that: 

1. The Acceptable Payment Method information you supply to us is true, correct and complete;

2. You are duly authorized to use such Acceptable Payment Method for the purchase;

3. Charges incurred by you will be honored by the relevant Acceptable Payment Method company; and

4. You will pay charges incurred by you at the posted prices, including shipping and handling charges and all applicable taxes, if any, regardless of the amount quoted on the Site at the time of your order.

6. Shipments; Delivery; Title and Risk of Loss.

1. We will arrange for shipment of the products to you. Please check the individual product page for specific delivery options. You will pay all shipping and handling charges specified during the ordering process. Shipping and handling charges are reimbursement for the costs we incur in the processing, handling, packing, shipping, and delivery of your order.

2. Title and risk of loss pass to you upon our transfer of the products to the carrier. Shipping and delivery dates are estimates only and cannot be guaranteed. We are not liable for any delays in shipments.

7. Returns and Refunds. Most sales are final. However, in certain limited circumstances we may permit returns, exchanges and/or provide refunds. For more information please refer to our Return Policy.

8. Purchaser Representations and Warranties. You represent and warrant to us as follows: (i) that you have the right to enter any transaction contemplated for hereby without violating any of the Terms, any applicable law, rule, or regulation, and/or any agreement with, or rights of, any third party; (ii) that you will use the goods and services provided hereunder exactly as authorized and never in any way that would violate any applicable law or third party right of any kind; and (iii) that you are buying our products solely for your own individual, personal, noncommercial use, and not for resale or export.

11. Restrictions

1. Goods Not for Resale or Export. You represent and warrant that you are buying products or services from the Site for your own personal or household use only, and not for resale or export. You further represent and warrant that all purchases are intended for final delivery to locations within the US and Canada. You understand and agree that only authorized resellers who are parties to a valid, currently in force reseller agreement with the Company may act as resellers of our products. 

2. Purchase Limit Policy. You agree to comply at all times with our Purchase Limits Policy and all other policies published on the Site. Any violation of this provision shall constitute a material breach of this Agreement and may result in cancellation of orders, termination of account privileges, and pursuit of all available legal remedies.

3. Use of our Marks and Products. You are not permitted to use our name, trademarks, or images of our products without our prior written consent in each instance, including but not limited to any use that could be construed as an affiliation with, or an endorsement or authorization of the Company.

4. Customer-Run Promotions. You may not use our products in connection with raffles, sweepstakes, giveaways, contests or promotions of any kind (“Promotions”) without meeting all of the following requirements:

1. You must provide us with advance written notice and obtain our express written consent, in each instance, prior to conducting a Promotion that involves our products;

2. You must be and remain in complete compliance with all of these Terms;

3. You must publish written official rules for the Promotion that specifically state in your official rules that we do not endorse the Promotion and that requires all entrants to release Company of all liability arising out of or relating to the Promotion;

4.  You must conduct your Promotion in compliance with all applicable laws; and

5. You must indemnify, defend and hold us harmless from and against any claims, losses, damages, judgements, fees, costs or expenses of any kind arising out of or relating to such Promotions.

12. Force Majeure. We will not be liable or responsible to you, nor be deemed to have defaulted or breached the Terms, for any failure or delay in our performance under the Terms when and to the extent such failure or delay is caused by or results from acts or circumstances beyond our reasonable control, including, without limitation, acts of God, flood, fire, earthquake, explosion, governmental actions, war, invasion or hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest, national emergency, revolution, insurrection, epidemic, lockouts, strikes or other labor disputes (whether or not relating to our workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage.
